GENERAL TERMS OF LEGIONFARM ASPIRANT PROGRAM
This Income Share Agreement (this “Agreement”) is made and entered into by and between you (the “Aspirant”) and Legionfarm Inc., a Delaware corporation and/or its affiliates (collectively, the “Company”) as of this the date you accept this Agreement (the “Effective Date”). The Aspirant and the Company may be referred to in this Agreement as the “Parties” and individually as the “Party”.
WHEREAS the Company wishes to spend the Aspirant Grant in the amount of US $4500 (the "Aspirant Grant") on the Aspirant in order to enable the Aspirant to participate in a Course organized by the Company to prepare the Aspirant for providing paid services in the gaming industry (the "Course").
1. To be eligible for the Course and further performance of this Agreement any Aspirant shall meet the following metrics (Metrics):
Apex: Diamond 2 rank; 10 000+ kills.
Warzone: 2+ K/D; 200+ wins; 10 000+ kills.
2. If one of the abovementioned Metrics drops lower than stipulated in this clause, the Company becomes entitled to terminate this Agreement unilaterally and demand the Default Amount.
3. The Parties undertakes the obligations stipulated below:
Course stage
Duration: 3 months since the Effective date

Company's obligations
Pay Aspirant USD 640 per each month of the Course in case of meeting KPI’s;
Organize scholar program.

Aspirants obligations
Start the Course within a week from the Effective Date;
Meet KPI’s set by Legionfarm at the beginning of each scholar month;
Successfully pass exams. For each exam, the Aspirant obtains three attempts to pass;
Increase Aspiran’s KD for 20% by the final exam of the Course.

Aspirant's right to postpone the course
During the Course, the Aspirant is entitled to pause the Сourse for 7 days in a row to compensate for all unfinished metrics stipulated herein.
From Course to Payback

Company's obligations
Ensure that the Aspirant is loaded with at least 160 occupation hours.
Aspirants obligations
Be online and ready to play at legionfarm.com for at least 160 hours per month; 60% of these hours must be spent during the primetime - 6 pm - 6 am GMT+0;
Put Company's name or its short form "LF" into the nickname of any game, including at esports competition;
Accept at least 80% of all client requests during each month;
Put Company's logo or other promotional materials at Twitch or other streaming platforms;
Participate in more than 80% of the events held by the Company, mandatory including LFSL Major;
Receive no more than 5 “shadow bans” from clients in any twelve months period.
Put Company's name or its short form "LF" into the nickname of any game, including at esports competition;
Accept at least 80% of all client requests during each month;
Put Company's logo or other promotional materials at Twitch or other streaming platforms;
Participate in more than 80% of the events held by the Company, mandatory including LFSL Major;
Receive no more than 5 “shadow bans” from clients in any twelve months period.

Company's obligations

Aspirant's right to postpone the course
After 9 months since the accomplishment of the Course are entitled to pause the Сourse for 7 days in a row, aiming to compensate for all unfinished metrics stipulated in this exhibit.
4. The Agreement is valid within 2 years from the Effective Date.
5. The Aspirant shall be free to work for any other entity in the Gaming Industry outside the Platform, excluding the competitors of the Company in the field of gaming companionship and coaching.
6. In the event of the Aspirant withdrawing from the Agreement without prior Company’s consent, the Aspirant shall pay 50% of all income earned by the Aspirant under this Agreement.
7. The Aspirant agrees that, during the Agreement term, the Aspirant shall not enter into similar income share agreements or similar arrangements with any other person or entity that, in the aggregate, obligate the Aspirant to pay Income Share of the Aspirant's Earned Income.
8. This Agreement may be unilaterally updated by the Company, in order to stay in compliance with the Agreement Aspirant shall follow all guidelines enacted by the Company provided to the Aspirant via Discord group with ID 912640967046201345 (titled ━━━━《 Aspirants 》━━━━) and the details.
9. The Company retains the right to unilaterally withdraw from the Agreement in case the Aspirant provides the Company with materially false or misleading information or representations or fails to disclose any material fact relating to the subject matter of this Agreement.
10. The Company retains the right to unilaterally terminate the Agreement in case the Aspirant does not perform one of the obligations mentioned above and does not respond to Legionfarm’s prior notifications within 72 hours.
11. Aspirant’s obligations under this Agreement shall be postponed or terminated if the Aspirant dies or suffers Disability, in the case of the latter, the Aspirant must provide documentation showing that the Aspirant has been found to be permanently disabled by a competent government agency in the place of residence of the Aspirant due to a condition that commenced after the Effective Date.
12. Each party shall bear its tax, costs, and expenses for preparing for and executing this Agreement.
13. By accepting this Agreement, the Aspirant acknowledges and agrees that this Agreement is entered into voluntarily and as an arms-length transaction. The aspirant further acknowledges and agrees with each of the following: (i) that the Aspirant is of legal age in the Aspirant's place of residence to execute this Agreement; (ii) that the Aspirant has had the opportunity to read this Agreement and to review its terms and conditions with the Aspirant's legal and financial advisors; (iii) that the Company is not an agent or fiduciary or advisor acting for the Aspirant's benefit or in the Aspirant's favor in connection with the execution of this Agreement; (iv) that Company has not provided the Aspirant with any legal, accounting, investment, regulatory or tax advice with respect to this Agreement; and (v) that Company has not made any promises or assurances to the Aspirant that are not expressly set forth in writing in this Agreement.
IN WITNESS WHEREOF, the Parties have entered into this Income Share Agreement as of the Effective Date.
